1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ITnovatic Technologies ("ITnovatic," "we," "us," or "our"), governing your access to and use of the website located at www.itnovatic.com (the "Site") and all related services, including but not limited to cloud solutions, DevOps services, IT support, and any other offerings provided through the Site (collectively, the "Services"). By accessing, browsing, or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree with any provision of these Terms, you must immediately cease all use of the Site and Services. 2. Description of Services

ITnovatic provides a range of professional IT services including, but not limited to, cloud infrastructure setup and migration (AWS, Azure), DevOps automation and CI/CD pipeline implementation, Kubernetes and Docker container orchestration, cybersecurity assessments, IT support and monitoring, custom software development, and digital transformation consulting. The specific services available, their features, pricing, and terms of engagement are detailed on the Site and may be subject to separate service agreements or statements of work.

All Services are provided on a professional services basis and may require execution of specific project agreements outlining scope, deliverables, timelines, payment terms, and performance metrics. ITnovatic reserves the right to modify, suspend, or discontinue any Service at any time without prior notice, provided that existing contractual obligations will be honored according to their terms.

3. User Eligibility and Registration

To access certain features of the Services, you may be required to create an account and provide accurate registration information. You represent and warrant that: (a) all information you provide is truthful, accurate, and complete; (b) you are at least 18 years of age or have reached the age of majority in your jurisdiction; (c) you possess the legal authority to enter into these Terms; and (d) your use of the Services complies with all applicable laws.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify ITnovatic immediately of any unauthorized use or security breach. ITnovatic reserves the right to suspend or terminate accounts for violations of these Terms or suspicious activity.

4. Intellectual Property Rights

All content on the Site, including text, graphics, logos, software, documentation, and materials (collectively, "ITnovatic Content"), is the exclusive property of ITnovatic or its licensors and is protected by copyright, trademark, and other intellectual property laws. The ITnovatic name, logo, and all related marks are trademarks of ITnovatic Technologies and may not be used without express written permission.

Subject to these Terms, ITnovatic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit any ITnovatic Content without prior written authorization. Any rights not expressly granted herein are reserved by ITnovatic.

5. User Content and Conduct

6. Prohibited Activities

The following activities are strictly prohibited: (a) reverse engineering, decompiling, or attempting to derive source code from any software provided as part of the Services; (b) using automated systems or scripts to access the Site; (c) attempting to gain unauthorized access to ITnovatic systems or client data; (d) using the Services to transmit spam, phishing attempts, or fraudulent communications; (e) violating any third-party rights, including intellectual property or privacy rights; or (f) engaging in competitive intelligence gathering against ITnovatic.

7. Payment Terms and Billing

Services may be provided on a fixed-price, time-and-materials, or subscription basis as specified in individual service agreements. All fees are quoted in USD and exclude applicable taxes unless otherwise stated. Payment terms vary by service type but are typically due net 30 days from invoice date unless otherwise agreed.

Late payments accrue interest at 1.5% per month or the maximum rate permitted by law. ITnovatic may suspend Services for non-payment after providing written notice. All sales are final except where prohibited by law, and refund policies are outlined in specific service agreements.

8. Service Level Agreements and Warranties

ITnovatic warrants that Services will be performed in a professional manner consistent with industry standards. For hosted services, we provide uptime guarantees as specified in service agreements. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITNOVATIC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

ITnovatic has no control over and assumes no responsibility for the content, privacy practices, or availability of third-party sites or services. 11. Termination

You may terminate your use of the Site at any time by ceasing access. ITnovatic may terminate or suspend access to the Site or Services at any time, with or without cause, upon written notice. Upon termination, all outstanding payment obligations become immediately due, and your right to use the Services ceases.

12. Governing Law and Dispute Resolution
